RESONANT PERSONALITY
Terms of Service
Version 2026.1 · Effective September 1, 2026
The short version
These Terms are the agreement between you and Anthro Labs, Inc., doing business as Resonant (“Resonant,” “we,” “us”). Please read them. Here’s the gist, but the full Terms below are what count:
- Your personality profile belongs to you. Your employer can use it only while you've allowed it, and you keep it if you leave.
- Resonant Personality helps people and AI understand how you work. It's not a hiring tool, a clinical diagnosis, or a substitute for human judgment, and nobody may use it that way.
- We use de-identified data to do research and improve the product. We never sell your personal data, and we never try to figure out who's behind a de-identified record.
- If you connect your profile to an outside AI tool, that tool's own terms govern what it does with your data.
1. Who these Terms apply to
1.1 Accepting. By creating an account, activating a license, taking an assessment, or otherwise using Resonant Personality (the “Service”), you agree to these Terms. If you don’t agree, don’t use the Service.
1.2 Two kinds of users. A “Customer” is an organization that buys licenses for its people (SMB and Enterprise plans). A “User” is any individual with an account, whether on a Personal plan or through a Customer’s license. If you accept these Terms on behalf of an organization, you confirm you have authority to bind it, and “you” includes that organization.
1.3 Age. You must be at least 18 years old to use the Service. Customers may not issue licenses to anyone under 18.
2. The Service and how the documents fit together
2.1 What the Service is. Resonant Personality turns a validated personality assessment into a 29-Point Personality Print (a “Print”) and uses it to power three coaches: one for you, one for the people you work with, and one that helps AI tools adapt to you. It also includes an HR leadership dashboard for Customers, an optional Assessment Add-On, and a connector (the “Connector”) that lets you share your Print with AI tools you choose.
2.2 Plans. The Service is offered as Personal, SMB, and Enterprise plans, as described on our pricing page or in your Order Form. Features vary by plan.
2.3 Order of precedence. If you’re a Customer with a signed Order Form, Master Services Agreement, or Data Processing Addendum with us, those documents control over these Terms where they conflict. Otherwise, these Terms, our Privacy Policy at resonant.io/privacy, and our Acceptable Use rules in Section 9 make up the whole agreement.
2.4 Changes to the Service. We improve the Service constantly. We may add, change, or remove features. If we remove a material feature you’ve paid for, we’ll give you reasonable notice and, if you ask, a pro-rated refund for the prepaid remainder of your term.
3. Accounts and activation
3.1 Your account. Keep your login credentials secure and tell us promptly at security@resonant.io if you suspect unauthorized access. You’re responsible for activity under your account.
3.2 Activation. A User activates a license by entering their own scores from a supported assessment or by taking an assessment through the Service. Only you may activate your own license. No one may enter scores on another person’s behalf or create a Print for someone who hasn’t activated it themselves.
3.3 Accurate information. Give us accurate information and keep it current. A Print built from someone else’s results, or from invented answers, isn’t a Print of you, and the coaching won’t be accurate.
4. Fees and billing
4.1 Fees. Customers and paid Users agree to pay the fees in the applicable Order Form or on our pricing page. Unless stated otherwise, fees are in U.S. dollars, exclusive of taxes, and billed in advance.
4.2 Activated seats. For SMB and Enterprise plans, the pricing tier is set by committed eligible headcount, and fees are charged on activated seats. We’ll true-up to actual activations at each annual renewal at the then-applicable tier price, subject to any cap in your Order Form.
4.3 Renewal. Subscriptions renew automatically for the same term unless either party gives notice of non-renewal at least 30 days before the end of the current term. We’ll notify you of price changes at least 60 days before they take effect at renewal.
4.4 Trials and pilots. Free trials and pilots end on the stated date. They don’t convert to a paid plan unless you choose to buy one. Trial Prints stay with the individuals who created them, under Section 6.
4.5 Late payment. If undisputed fees are more than 30 days overdue, we may suspend the Customer’s access after giving notice. Suspension doesn’t affect any individual User’s access to their own Print under a Personal account.
4.6 Refunds. Personal plans may be cancelled at any time and won’t renew. If you cancel an annual Personal plan within 14 days of your first purchase, we’ll refund it in full. Other fees are non-refundable except as stated in these Terms or your Order Form.
4.7 Channel partners. Some Customers buy through independent certified consultants or resellers (“Partners”). Partners are independent businesses, not our agents. They can’t change these Terms, and any services a Partner provides (onboarding, facilitation, coaching) are between you and that Partner.
5. Assessments
5.1 Assessment Add-On. The Assessment Add-On gives Users access to validated assessments delivered through Innermetrix, our affiliated company, under license. Your use of those assessments is subject to these Terms.
5.2 Not a clinical instrument. The assessments measure workplace behavior, motivation, and related traits. They aren’t clinical or medical tests, they don’t diagnose any condition, and their results shouldn’t be treated as a statement about anyone’s mental health.
5.3 Answer honestly, not strategically. The results are only as good as the answers. Results from an assessment taken for someone else, taken in an attempt to game the outcome, or taken under pressure may not be accurate.
6. Your data and your Print
6.1 You own your Print. As between you, your employer, and us, your Print and the assessment results behind it belong to you. We hold them to provide the Service to you.
6.2 What your employer can see. If you activate through a Customer’s license, the Customer’s authorized administrators can see organization-level analytics on the dashboard, which are aggregated and never reported for groups smaller than five people. By default, your Print summary is also visible to the Customer’s administrators and to the coworkers you work with through the coworker coach. You can view and change these sharing settings at any time, including limiting your employer to aggregated analytics only, without losing your license.
6.3 Portability. If your employer’s license ends or you leave that employer, your access to your Print continues through a free Personal account. Your former employer’s access to your Print ends, except for de-identified, aggregated dashboard statistics computed before your departure.
6.4 How we use data. We use your data to provide, secure, and support the Service. We also use de-identified and aggregated data, meaning data from which names, contact details, and employer identities have been removed, to conduct research, develop and improve our products, maintain assessment norms, and train and evaluate models, including AI models. We will not attempt to re-identify any person from de-identified data, and we contractually prohibit anyone we share it with from doing so. You can opt out of research and model-training use at any time in your account settings. If you live in the European Economic Area, the United Kingdom, or Switzerland, your data is included in research and model training only if you opt in.
6.5 What we don’t do. We don’t sell personal data. We don’t use your Print to make decisions about you. We don’t share identifiable Prints with anyone except as you direct, as your Customer’s license permits under Section 6.2, to our service providers under confidentiality and data-protection obligations, or where the law requires it.
6.6 Customer Data. Anything a Customer uploads to the Service, other than individual Users’ Prints and assessment results, is “Customer Data” and belongs to the Customer. The Customer grants us the rights needed to host and process it to provide the Service.
6.7 Privacy and security. Our Privacy Policy explains what we collect and your rights, including access, correction, deletion, and export. We maintain administrative, technical, and physical safeguards appropriate to the sensitivity of personality data. For Enterprise Customers, our Data Processing Addendum governs personal data we process on the Customer’s behalf.
6.8 Deletion. You can delete your account at any time. We’ll delete or de-identify your personal data within 30 days, except where the law requires us to keep it. Data that has already been de-identified and aggregated can’t be traced back to you, so it can’t be removed.
7. Results from other assessments
7.1 Your own results only. You may upload or enter results from supported third-party assessments (for example, DISC-family instruments, CliftonStrengths, PI, Hogan, or MBTI) only if they are your own results and you have the right to share them.
7.2 A translation, not the original. When you do, the Service creates a Resonant Print that interprets those results in its own framework. The Print isn’t the original publisher’s report, isn’t endorsed by that publisher, and may differ from how the publisher would interpret your results. We don’t reproduce third-party reports.
7.3 Trademarks. Product names like these are trademarks of their respective owners. Resonant isn’t affiliated with, sponsored by, or endorsed by those owners.
8. AI features and the Connector
8.1 AI can be wrong. The coaches use artificial intelligence. Their guidance is based on your Print and general research about personality at work. It can be incomplete, can be wrong, and doesn’t know everything about you or your situation. Use your judgment. The Service isn’t professional, legal, medical, psychological, or financial advice.
8.2 Connecting outside AI tools. The Connector lets you share your Print with AI tools you choose, such as general-purpose assistants. When you connect one, you’re directing us to send your Print to that tool. What that tool does with it is governed by its provider’s terms and privacy policy, not ours. We’re not responsible for third-party AI tools, and you can disconnect them at any time.
8.3 Organizational connections. If a Customer’s administrators connect the Service to the organization’s AI systems, the Customer is responsible for making sure that use complies with these Terms, including Section 9, and with the law.
8.4 Your inputs and outputs. You’re responsible for what you type into the coaches. Coaching outputs are provided for your use. You may use them freely, but you may not present them as a clinical, validated, or official assessment result.
9. Acceptable use
You and any Customer may not, and may not let anyone else:
- use the Service or any Print as a basis, in whole or in part, for decisions about hiring, firing, promotion, compensation, discipline, or eligibility for employment, credit, housing, insurance, or any similar opportunity;
- infer, create, or estimate a Print, or any personality profile, of a person who hasn't activated their own account, including from their writing, messages, recordings, or online activity;
- pressure or require anyone to share their Print beyond what the Service's sharing settings allow, or retaliate against anyone for their Print or their sharing choices;
- attempt to re-identify anyone from de-identified or aggregated data;
- use Prints or coaching to manipulate, deceive, harass, or discriminate against anyone, including on the basis of a legally protected characteristic;
- scrape, copy, reverse engineer, or extract the Service's scoring, norms, rule tables, or models, or use the Service to build a competing product;
- resell, sublicense, or share access except as your plan allows;
- interfere with or disrupt the Service's security or operation; or
- use the Service in violation of any law, including privacy, employment, anti-discrimination, and export control laws.
We may suspend access that violates this Section. Where practical, we’ll tell you first and give you a chance to fix the problem.
10. Intellectual property
10.1 Ours. The Service, including its software, instruments, scoring methods, norms, the Print framework, rule tables, content, and trademarks, belongs to Resonant or its licensors, including Innermetrix. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. They don’t transfer ownership of anything.
10.2 Yours. Your Print, your assessment results, and Customer Data belong to you or the Customer as described in Section 6.
10.3 Feedback. If you send us suggestions, we may use them without obligation to you.
11. Confidentiality
Each party will protect the other’s non-public business information that it receives in connection with the Service, using at least reasonable care, and will use it only to perform under these Terms. This doesn’t cover information that is public, independently developed, or rightfully received from someone else, or disclosures the law requires (with prompt notice to the other party where allowed).
12. Warranties and disclaimers
12.1 What we promise. We’ll provide the Service in a professional manner, consistent with its documentation, and we won’t materially reduce its overall security during your paid term.
12.2 Disclaimer. Except as stated in Section 12.1, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PRINT, ASSESSMENT RESULT, OR COACHING OUTPUT WILL BE ACCURATE OR PRODUCE ANY PARTICULAR RESULT.
13. Limitation of liability
13.1 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER OR USER TO RESONANT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 FOR FREE ACCOUNTS.
13.2 Excluded damages. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
13.3 Exceptions. These limits don’t apply to a party’s indemnification obligations, a Customer’s payment obligations, a breach of Section 9, or liability that can’t be limited by law.
14. Indemnification
14.1 By us. We’ll defend a Customer against third-party claims that the Service, as provided by us, infringes that party’s intellectual property rights, and pay resulting damages finally awarded or agreed in settlement. This doesn’t cover claims arising from third-party assessment results you upload, your combination of the Service with other products, or your breach of these Terms. If such a claim arises, we may modify the Service, get you the right to keep using it, or end the affected subscription and refund prepaid fees for the unused term.
14.2 By Customers. A Customer will defend us against third-party claims, including claims by its employees or regulators, arising from the Customer’s use of the Service in breach of Section 9 or applicable law, and pay resulting damages finally awarded or agreed in settlement.
14.3 Process. The indemnified party must give prompt notice, let the indemnifying party control the defense, and reasonably cooperate.
15. Term and termination
15.1 Term. These Terms apply while you use the Service. Paid subscriptions run for the term in the Order Form or on the pricing page.
15.2 Termination for breach. Either party may terminate a subscription if the other materially breaches these Terms and doesn’t cure the breach within 30 days of written notice.
15.3 After termination. Customer access ends. Customers may export Customer Data for 30 days after termination, after which we’ll delete it. Individual Users keep their Prints through a Personal account under Section 6.3. Sections 6, 9 through 14, 15.3, and 16 survive.
16. General
16.1 Changes to these Terms. We may update these Terms. For material changes, we’ll notify you at least 30 days in advance by email or in the Service. Each version is dated and numbered, and we keep a record of which version you accepted. If you keep using the Service after the effective date, you accept the new version. If you’re a Customer and you object to a material change, you may terminate and receive a pro-rated refund of prepaid fees.
16.2 Governing law and venue. These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Courts located in Knox County, Tennessee have exclusive jurisdiction, except that either party may bring an individual claim in small claims court where eligible. Nothing here takes away rights you have under the consumer or data-protection laws of the place you live.
16.3 Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of substantially all of its relevant assets. If that happens to us, our successor must honor Sections 6 and 9.
16.4 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
16.5 Export and sanctions. You may not use the Service in violation of U.S. or other applicable export control or sanctions laws.
16.6 Other terms. These Terms are the entire agreement on their subject, together with the documents in Section 2.3. If any provision is unenforceable, the rest remains in effect. Failing to enforce a provision isn’t a waiver. The parties are independent contractors.
16.7 Notices. We’ll send notices to the email address on your account. Send notices to us at legal@resonant.io.
16.8 Contact. Questions about these Terms: support@resonant.io.
